1. Agreement to Terms

By accessing and using XpertBees Infotech's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

XpertBees Infotech provides IT services including but not limited to:

• Custom web application development
• Mobile application development
• Cloud solutions and migration services
• DevOps and CI/CD pipeline implementation
• AI and Machine Learning solutions
• Digital transformation consulting
• Technical support and maintenance

3. Payment Terms

Payment terms will be specified in individual project agreements. General terms include:

• Project fees are due according to the milestone schedule outlined in the project agreement
• Late payments may incur additional charges as specified in the project agreement
• All fees are non-refundable unless otherwise specified
• Additional work beyond the original scope will be billed separately

4. Intellectual Property Rights

Upon full payment of all fees:

• Client retains ownership of all custom-developed software and applications
• XpertBees Infotech retains ownership of proprietary tools, frameworks, and methodologies
• Third-party components remain subject to their respective licenses
• Client grants XpertBees Infotech the right to showcase work as a portfolio example

5. Confidentiality

Both parties agree to maintain confidentiality of all proprietary and sensitive information shared during the course of the project. This includes but is not limited to business plans, technical specifications, user data, and any other information marked as confidential.

6. Limitation of Liability

XpertBees Infotech's liability for any claim arising out of or relating to this agreement shall not exceed the total amount paid by the client for the specific service that gave rise to the claim. In no event shall XpertBees Infotech be liable for any indirect, incidental, special, or consequential damages.

7. Warranties and Disclaimers

XpertBees Infotech warrants that:

• Services will be performed in a professional manner
• Deliverables will substantially conform to agreed specifications
• Work will be free from defects in materials and workmanship for 30 days after delivery

Except as expressly stated herein, all services are provided "as is" without warranty of any kind.

8. Project Scope and Changes

The scope of work will be clearly defined in individual project agreements. Any changes to the scope must be agreed upon in writing by both parties and may result in additional charges and timeline adjustments.

9. Termination

Either party may terminate an agreement with written notice. Upon termination, the client shall pay for all work completed up to the termination date. XpertBees Infotech will deliver all completed work products upon receipt of payment.

10. Support and Maintenance

Post-delivery support and maintenance services are available under separate agreements. Emergency support may be provided on a best-effort basis for critical issues affecting system functionality.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance under this agreement due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or other force majeure events.

12. Governing Law

This agreement shall be governed by and construed in accordance with the laws of California, United States, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising out of or relating to this agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Modifications

XpertBees Infotech reserves the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of the modified terms.
